Enterprise Terms of Service

These Terms govern the TokenWay website and approved enterprise services operated by AIDAT TECHNOLOGY PTE. LTD. (UEN 202345489M), Singapore. A written Enterprise Agreement controls where it expressly conflicts with these Terms.

Scope and Acceptance

These Terms govern the TokenWay website, enterprise inquiry process, approved customer portal access, Token API, Token Factory, documentation, support, and related services provided by AIDAT TECHNOLOGY PTE. LTD. (UEN 202345489M), Singapore (TokenWay, we, us, or our).

By accessing the website or an approved service, you agree to these Terms. If you act for an organization, you represent that you have authority to bind that organization, and references to you include that organization.

Token API access and Token Factory engagements are provided only after enterprise review and approval. The public website does not create a customer account, quote, service commitment, or right of access.

Enterprise Agreement

A master services agreement, order form, service schedule, data-processing addendum, statement of work, or other written agreement accepted by TokenWay and your organization is an Enterprise Agreement.

The Enterprise Agreement may define pricing, service levels, regions, approved models, data handling, support, security, term, renewal, and other service-specific commitments. If an Enterprise Agreement expressly conflicts with these Terms, the Enterprise Agreement controls for the services it covers.

Services

Token API provides approved access to a focused set of production model services through a compatible interface. Token Factory covers model deployment, inference optimization, integration, and operations on customer-controlled or otherwise approved infrastructure.

Models, routes, features, regions, and providers may change unless an Enterprise Agreement fixes a specific commitment. We may modify or discontinue a service component when reasonably necessary for security, compliance, provider availability, or service operation.

Authorized Users and Credentials

You are responsible for the individuals, applications, contractors, affiliates, and downstream services you authorize to use the services (Authorized Users). You must ensure that Authorized Users comply with these Terms and the Enterprise Agreement.

Credentials and API keys must be protected from unauthorized access and may not be transferred outside the approved organization or service scope. You are responsible for activity performed with your credentials until you notify us of suspected compromise and we have had a reasonable opportunity to restrict access.

Provider and Model Terms

Your use of a model or upstream service may be subject to additional provider, model, license, geographic, and acceptable-use terms. You must review and comply with the terms applicable to the approved models and ensure that your Authorized Users and downstream applications do the same.

You are responsible for selecting models and configurations suitable for your use case, including regulated, sensitive, high-risk, or customer-facing applications. Model ownership, output rights, restrictions, and data practices may differ.

We may restrict, reroute, suspend, or remove a model when reasonably required by an applicable provider term, model license, law, security concern, or operational limitation. Continued availability of any third-party model is not guaranteed unless stated in an Enterprise Agreement.

Customer Content

Customer Content means the prompts, inputs, files, instructions, outputs, and related data submitted to or returned through an approved service. You retain the rights you hold in Inputs. Rights in Outputs may depend on applicable law and Provider and Model Terms.

You grant TokenWay the limited rights needed to transmit, host, cache, format, secure, troubleshoot, and otherwise process Customer Content solely to provide the approved service, support your authorized request, prevent abuse, or comply with law.

You represent that you have the rights, permissions, notices, and consents necessary to submit Customer Content and authorize its processing. You are responsible for your use of Outputs, which may be inaccurate, incomplete, non-unique, or unsuitable for a particular purpose.

Acceptable Use

You must use the website and services lawfully, in accordance with the Enterprise Agreement, and without interfering with security, availability, or other customers.

  • Do not use the services for fraud, malware, cyberattacks, unauthorized access, safeguards circumvention, infringement, unlawful surveillance, or coordinated harassment.
  • Do not create or distribute child sexual abuse material, non-consensual intimate content, harmful impersonation, or content that unlawfully exploits or endangers a person.
  • Do not use the services for prohibited weapons activity, unlawful influence operations, sanctions evasion, or other activity forbidden by applicable Provider and Model Terms.
  • Do not conduct unauthorized red teaming, prompt injection, jailbreaking, scraping, reverse engineering, or attempts to compromise a model, service, credential, hidden context, or control.
  • For regulated, safety-critical, employment, medical, legal, financial, or other consequential decisions, determine suitability, provide required disclosures, and maintain appropriate qualified human review.

Fees and Commercial Terms

Pricing, committed usage, metering, invoices, taxes, payment timing, renewal, credits, and refunds are governed by the Enterprise Agreement. Website descriptions do not constitute a quote or commitment.

You must pay undisputed amounts when due and promptly identify a billing concern through the contact stated in the applicable invoice or Enterprise Agreement.

Suspension and Termination

TokenWay may restrict, suspend, or terminate access when reasonably necessary to address security risk, nonpayment, unlawful use, material breach, sanctions, operational harm, or an applicable provider requirement. Where practical and lawful, we will provide notice and an opportunity to remedy.

Termination rights, data return or deletion, transition support, and financial consequences are governed by the Enterprise Agreement. Provisions concerning Customer Content, intellectual property, confidentiality, disclaimers, liability, compliance, and accrued payment obligations survive to the extent their nature requires.

Third-Party Services and Availability

Approved services may rely on model providers, infrastructure providers, networks, and other third-party services. Their acts, omissions, restrictions, outages, and changes may affect availability or performance.

No service level, model availability, region, throughput, latency, or support commitment applies unless stated in the Enterprise Agreement. Links to third-party websites do not imply responsibility for their content or practices.

Intellectual Property and Feedback

TokenWay and its licensors retain all rights in the website, service software, documentation, designs, trademarks, and other materials we provide, excluding Customer Content. Open-source components and third-party materials remain subject to their respective licenses and ownership.

If you voluntarily provide suggestions or feedback, you grant TokenWay a worldwide, perpetual, irrevocable, royalty-free right to use that feedback without restriction or payment, provided we do not identify you publicly without permission.

Confidentiality

Each party will use reasonable care to protect non-public information disclosed for enterprise evaluation or service delivery, use it only for the relevant business relationship, and disclose it only to people and providers who need it and are subject to appropriate confidentiality obligations.

Confidentiality obligations do not apply to information independently developed, lawfully known without restriction, received lawfully from another source, or made public without breach. A signed confidentiality agreement controls if it expressly conflicts with this section.

Disclaimers

Except for express commitments in an Enterprise Agreement, the website, services, models, and Outputs are provided on an as-is and as-available basis. To the maximum extent permitted by law, TokenWay disclaims implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement.

Generative models may produce inaccurate, incomplete, biased, offensive, or harmful Outputs. No oral or written information creates a warranty not expressly stated in an Enterprise Agreement.

Limitation of Liability

Risk allocation, exclusions, indemnities, remedies, and any monetary liability cap are governed by the Enterprise Agreement. If no Enterprise Agreement addresses a matter, liability is limited to the maximum extent permitted by applicable law.

Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for fraud or other non-waivable obligations.

Export and Sanctions Compliance

You must comply with applicable export-control, import-control, economic-sanctions, and restricted-party laws. You may not access, export, re-export, transfer, or make a service or Output available where doing so would violate applicable law or an approved model restriction.

You are responsible for assessing requirements that apply to your organization, Authorized Users, downstream users, destinations, and use cases, and for obtaining any required authorization.

Changes and Contact

We may update these Terms by publishing a revised effective date. Material changes affecting an active enterprise service will be handled in accordance with the Enterprise Agreement and applicable law.

These Terms, the Privacy Policy, the Data Policy, and the Enterprise Agreement form the governing documents for their respective scopes. If a provision is unenforceable, the remaining provisions continue in effect. Governing law, dispute resolution, assignment, notices, and the order of precedence are determined by the Enterprise Agreement.
